Strategic Counsel for Cross-Border Business
I help U.S. and international companies structure and execute complex business transactions with clarity and efficiency. Over the course of my career, I’ve worked with clients in nearly every sector and on every continent except Antarctica, guiding them through cross-border M&A, international joint ventures, contract negotiations, entity formation, market entry strategies, and global compliance issues.
Whether I’m advising a European or Asian company on U.S. expansion, helping a Midwestern manufacturer establish operations abroad, or supporting a U.S. tech company exiting a foreign market, I bring more than legal knowledge to the table. My approach blends legal strategy with cultural fluency and on-the-ground business insight. I help clients navigate unfamiliar regulatory environments, avoid costly missteps caused by cultural misunderstandings, and negotiate agreements that align not just with legal norms, but with business expectations on both sides of the border.
In cross-border work, success often hinges on understanding what isn’t written in the contract – including how different markets approach negotiations and legal issues such as labor, intellectual property, and governance. I help clients anticipate those differences and prepare accordingly. When needed, I connect them with trusted advisors abroad to ensure every facet of their transaction or expansion is handled with local credibility and global consistency. My goal is to help clients enter new markets with confidence, manage international operations effectively, and build lasting partnerships that stand up to real-world challenges.
In addition to private practice, I’m an active member of the global business community. I serve on the board of Global Minnesota, am an appointed member of the U.S. Department of Commerce’s Minnesota District Export Council, and regularly volunteer my time to mentor and advise companies looking to grow globally. I’ve presented and networked at international legal conferences around the world, and my global relationships help clients quickly access trusted advisors in foreign jurisdictions.

When I’m not working with clients or connecting with international colleagues, I enjoy spending time on the golf course. I’m an avid player with four holes-in-one to my name. I’ve recently added pickleball to my winter routine and like to travel and explore new places.
- Guided the sale of a business division of a Midwestern industrial company to a private equity buyer, involving legal coordination across the U.S. and three additional international jurisdictions.
- Guided the sale of the aerospace and defense subsidiary of a Midwestern industrial company to a private equity buyer.
- Advised Kingland Systems, an enterprise data technology company, through all phases of a strategic investment and business partnership with Boston-based private equity firm ABRY Partners.
- Represented the owners of Struckd AG, a Switzerland-based mobile gaming platform with a library exceeding one million user-created games, in its acquisition by a U.S. software company.
- Assisted Eurofins Scientific SE, a global network of laboratories headquartered in Belgium, in more than $2 billion of acquisitions of testing, inspection and certification businesses in the U.S.A.
- Acted for MPS Limited, an international provider of digital content and learning solutions based in India, in its acquisition of U.S.-based scientific editing firm Research Square AJE, LLC.
- Supported a Midwestern manufacturer in a complex sale of proprietary technology to a European buyer as part of a broader infrastructure initiative in Asia.
- Served as U.S. legal counsel to a European corporation executing a multi-jurisdictional acquisition across several countries.
- Represented a Swiss-based manufacturing firm in its purchase of a U.S. business operation.
- Acted on behalf of a European private equity firm as U.S. counsel in connection with a cross-border, multi-country acquisition transaction.
- Managed the sale of a manufacturing business unit in Thailand on behalf of a Midwestern company.
- Negotiated a cross-border IT outsourcing agreement for a compliance software provider with a global network of accounting and consulting firms.
- Advised a U.S. company on the full legal process of winding down its Chinese subsidiary operations.
- Counseled a European business on a wide range of employment and corporate governance issues related to its U.S. presence.
- Structured a distribution arrangement in India for a U.S.-based medical device manufacturer seeking to expand into new markets.
- Represented a U.S. manufacturer in securing a term and revolving credit facility with a leading global financial institution.
